The Revela Research brand and platform are operated by Updrift Strategy LLC ("Revela Research," "Revela," "we," "us," or "our"). By accessing or using our website, you agree to be bound by these Terms. 

Please read these Terms carefully. If you do not agree to them, you must not access or use our website. 

1. Acceptance of Terms 

By accessing or using any part of the Revela website, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. 

If you are accessing or using our website on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, "you" and "your" refer to both you individually and that entity. 

2. About Revela and Our Services 

Revela Research is an AI-powered qualitative research platform operated by Updrift Strategy LLC. We help businesses conduct asynchronous, AI-moderated research interviews to gather customer insights. Our AI interviewer, Vera, conducts video interview sessions with research participants, who are always informed that they are speaking with an AI. 

Our platform is not designed or intended for clinical, medical, legal, or other research requiring licensed human professionals, and should not be used for those purposes. 

This website primarily serves as an informational and marketing resource. Certain areas of our platform are used to facilitate research interview sessions; participants in those sessions are subject to separate Participant Terms and Conditions and a Participant Privacy Policy presented to them before any session begins. 

3. Use of the Website 

You agree to use our website only for lawful purposes and in accordance with these Terms. You agree not to: 

• Use our website in any way that violates applicable local, national, or international law or regulation 

• Attempt to gain unauthorized access to any part of our website, servers, or systems 

• Introduce malicious code, viruses, or any material that is harmful or technically disruptive 

• Scrape, crawl, or systematically extract data from our website without our prior written consent 

• Reproduce, duplicate, copy, or resell any part of our website in violation of these Terms 

• Use our website to transmit unsolicited advertising or promotional material 

We reserve the right to investigate suspected violations and to restrict or terminate your access to our website where we reasonably believe a violation has occurred. 

4. Contact and Demo Requests 

If you submit a contact form or request a demonstration through our website, you agree to provide accurate and complete information. We will use the information you provide to respond to your inquiry and follow up regarding our services, as described in our Privacy Policy.

Submitting an inquiry does not create any obligation on either party to enter into a business relationship. Any engagement of Revela's services is governed by a separate written agreement. 

5. Intellectual Property 

The Revela website and all content, features, and functionality — including text, graphics, logos, design, software, and the Vera AI interviewer - are owned by Updrift Strategy LLC, which operates the Revela Research brand, and are protected by copyright, trademark, and other intellectual property laws. 

The Revela Research, Revela, and Vera names and logos are trademarks or trade names of Updrift Strategy LLC. Nothing in these Terms grants you any right to use our trademarks or brand assets without our prior written permission. 

If you provide us with feedback or suggestions about our website or services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose. 

6. Privacy 

Our collection and use of personal data in connection with your use of this website is governed by our Website Privacy Policy, available on our website. Please review it carefully. 

If you are a research participant, the handling of your data in connection with a research session is governed by our separate Participant Privacy Policy, which is presented to you at the start of your session. 

7. Third-Party Links 

Our website may contain links to third-party websites that are not owned or controlled by Revela. We are not responsible for the content, privacy practices, or terms of any third-party websites. We encourage you to review the terms and privacy policies of any third-party websites you visit. 

8. Disclaimers 

OUR WEBSITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. 

We do not warrant that our website will be uninterrupted, error-free, or free of harmful components, or that any content on it is accurate, complete, or current. 

We may suspend, withdraw, or modify the website, or any part of it, at any time without notice.  

We will not be liable if the website is unavailable at any time or for any period. This does not affect any service commitments made to clients or participants under separate agreements. 

9. Limitation of Liability 

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UPDRIFT STRATEGY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR WEBSITE. 

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO YOUR USE OF OUR WEBSITE SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED US DOLLARS ($100) OR (B) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM. 

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages, so some of the above exclusions and limitations may not apply to you. Nothing in these Terms limits liability that cannot be excluded or limited under applicable law. 

10. Indemnification 

You agree to indemnify and hold harmless Revela and its officers, directors, employees, and agents from and against any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your use of our website, your violation of these Terms, or your violation of any third-party rights.  

11. Governing Law and Disputes 

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any legal action or proceeding arising out of these Terms shall be brought exclusively in the state or federal courts located in Alameda County, California, and you consent to the personal jurisdiction of those courts. 

Before initiating any formal legal proceedings, you agree to contact us at legal@revelaresearch.ai and attempt to resolve the dispute informally for a period of 30 days. This does not prevent either party from seeking emergency injunctive relief. 

12. Changes to These Terms 

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of our website after changes take effect constitutes acceptance of the updated Terms. 

13. General Provisions 

If any provision of these Terms is found to be invalid or unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will continue in full force. Our failure to enforce any provision does not constitute a waiver of that provision.  

You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction, including in connection with a merger, acquisition, or sale of assets. These Terms constitute the entire agreement between you and Revela regarding your use of our website.
